Terms of Service

Last updated: 10 August 2026

These Terms of Service ("Terms") govern your use of the website at www.krestolabs.com and any consulting services provided by Kresto Consulting ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Website Use

Our website is provided for informational and business enquiry purposes only. You may use the website for lawful purposes and in a manner consistent with these Terms.

You must not use our website to transmit unsolicited communications, attempt to gain unauthorised access to any part of the website or its infrastructure, or engage in any activity that could damage, disable, or impair the website.

We reserve the right to restrict or terminate access to the website at any time without notice.

2. Consulting Services

Kresto Consulting provides AI workflow consulting services to businesses. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate Statement of Work ("SOW") or consulting agreement agreed between the parties in writing.

These Terms apply to all engagements unless superseded by a signed agreement. In the event of a conflict between these Terms and a signed agreement, the signed agreement prevails.

3. Fees and Payment

Fees for consulting services are as agreed in the applicable SOW. Unless otherwise stated, invoices are due within 14 days of the invoice date.

We reserve the right to suspend work on any engagement where invoices remain unpaid beyond the due date. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.

All fees are exclusive of applicable taxes (including GST, VAT, or equivalent) unless expressly stated otherwise. You are responsible for any taxes applicable in your jurisdiction.

4. Intellectual Property

Our content: All content on this website — including text, graphics, logos, and methodology descriptions — is the intellectual property of Kresto Consulting and is protected by applicable copyright and trademark law. You may not reproduce, distribute, or create derivative works without our prior written consent.

Deliverables: Upon full payment of all fees, ownership of the specific deliverables produced for you under an engagement (reports, workflow designs, implementation guides) transfers to you. We retain ownership of all underlying methodologies, frameworks, tools, and pre-existing intellectual property used to create those deliverables.

Your data: Any data, documents, or materials you provide to us remain your property. We use them solely to deliver the agreed services and will not share them with third parties without your consent.

5. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during an engagement ("Confidential Information"). This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Confidentiality obligations survive the termination of any engagement for a period of two (2) years.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Kresto Consulting's total liability to you for any claim arising out of or in connection with our services or these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

7. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. We do not warrant that our recommendations will achieve any specific business outcome, as results depend on factors outside our control including your implementation, team capacity, and market conditions.

The website and its content are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.

8. Termination

Either party may terminate a consulting engagement by providing 14 days' written notice. Upon termination, you are responsible for payment of all fees for work completed up to the termination date.

We may terminate an engagement immediately if you breach these Terms or any applicable law, or if you fail to pay invoices within 30 days of the due date.

9. Governing Law

These Terms are governed by the laws of the jurisdiction in which the primary engagement is conducted, as specified in the applicable SOW. In the absence of such specification, these Terms are governed by the laws of India.

Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in accordance with the applicable arbitration rules of the governing jurisdiction.

10. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our website or services after changes constitutes acceptance of the updated Terms.

For active consulting engagements, material changes to these Terms will be communicated in writing and will not apply retroactively to work already in progress.
